Ok, so I'm following up my own post !

The modem will talk, there's nothing wrong with parity etc on eiter end.
The problem is the line speed.  There are 3 settings on my modem:

    1) fixed line/serial speed - this works, but only at connection speed
    2) variable line/serial speed - can't figure out what the serial speed is!
    3) both... variable what ARQ is enabled - as above

in its infinite wisdom, the modem is choosing a serial speed...  it's a pity
it won't tell me what it is !

anyone any suggestions ?  Don't all rush at once ! ;)
